Welcome to Shop Schools (“Shop Schools,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our services, including our website, platform, and communications (collectively, the “Services”).

By using our Services—whether as a parent/guardian seeking a school or as a partner school—you agree to these Terms. If you do not agree, you may not use our Services.

1. Eligibility

Parents/Guardians: You represent that you are at least 18 years old and legally authorized to provide information about your child.
Schools: You represent that you are an authorized representative of the school and have authority to bind the school to these Terms.

2. Scope of Services

Shop Schools provides a lead-matching and referral service connecting families with participating schools.
We do not operate, endorse, accredit, or guarantee any school, nor do we guarantee admissions outcomes.
We reserve the right to refuse service, suspend accounts, or remove schools or parents from our platform at our discretion.

3. User Responsibilities

For Parents/Guardians:

Provide accurate, complete, and current information about yourself and your child.
Use the Services only to explore legitimate school enrollment opportunities.
Do not provide false information or attempt to misuse the Services.

For Schools:

Use parent/guardian leads only for enrollment-related purposes.
Do not resell, transfer, or misuse lead data.
Respond to leads promptly and in accordance with Shop Schools’ policies.
Maintain compliance with applicable privacy, data, and education laws.

4. Data Sharing

Parents/guardians understand that information submitted through Shop Schools will be shared with partner schools once a school accepts the lead.
Schools understand that once parent/guardian data is shared, they are solely responsible for their use of that data.
Shop Schools is not responsible for how schools use the information once shared.

5. Payments (For Schools)

Partner schools agree to pay fees associated with lead delivery or subscriptions as communicated by Shop Schools.
All fees are non-refundable unless expressly stated otherwise in writing.
Late or non-payment may result in suspension or termination of school access to the Services.

6. Intellectual Property

All content, trademarks, and technology related to Shop Schools are owned by us and protected by intellectual property laws.
You may not copy, distribute, reverse engineer, or create derivative works from our Services.

7. Disclaimers

Shop Schools provides the Services “AS IS” and “AS AVAILABLE” without warranties of any kind.
We do not guarantee:
- The accuracy or completeness of school information,
- That families will be accepted or admitted to any school, or
- That schools will achieve any specific enrollment outcomes.
Shop Schools is not responsible for the actions, policies, or quality of any participating school.

8. Limitation of Liability

To the fullest extent permitted by law:

Shop Schools is not liable for indirect, incidental, special, or consequential damages arising from your use of the Services.
Our total liability for any claim will not exceed the amount you paid to Shop Schools in the 12 months preceding the claim, or $100 if no payment was made.

9. Termination

We may suspend or terminate your access to the Services at any time, without notice, if you violate these Terms or misuse the Services.

10. Indemnification

You agree to defend, indemnify, and hold harmless Shop Schools, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

Your use of the Services,
Your violation of these Terms, or
Your misuse of data obtained through the Services.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles.
Any dispute will be resolved exclusively in the state or federal courts located in Austin, Texas.
You waive any right to participate in a class action against Shop Schools.

12. Changes to These Terms

We may update these Terms at any time by posting a revised version with a new effective date. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
